What is directors and officers (D&O) insurance?

D&O insurance protects the personal liability of directors and officers for wrongful acts in their role, such as alleged breaches of duty, misleading statements or poor decisions. It typically covers defence costs and any damages or settlements the insurer agrees to, and can reimburse the company when it indemnifies its directors.

Who needs D&O insurance?

Anyone who sits on a board or committee can face a claim. D&O is commonly bought by company boards, startups and growing companies (investors and incoming directors may ask for it), private and family companies, and not-for-profit and association committees whose volunteer members want personal protection.

Who can make a claim against a director?

Claims can come from shareholders, investors, creditors, employees, competitors, customers and regulators. Even an allegation without merit can be expensive to defend, which is why defence costs are such an important part of D&O cover.

What's the difference between D&O and management liability?

Standalone D&O focuses on the personal liability of directors and officers. A management liability package usually includes D&O as one section and adds cover for the company itself, such as employment practices, statutory liability, crime and tax audit. Many private companies and not-for-profits choose the package; others prefer standalone D&O. We can quote both so you can compare.

Does D&O insurance cover fines and penalties?

Some fines and penalties can't legally be insured, and policies also typically exclude dishonest or fraudulent conduct once it is established. Defence and investigation costs are more commonly covered. Policy wordings differ, so we'll explain how each option treats this.

Is D&O written on a claims-made basis?

Generally, yes. D&O policies usually respond to claims first made and notified during the period of insurance, so it's important to keep cover continuous and to tell us promptly about any claim or circumstance that might lead to one. If a company is sold or wound up, run-off cover may be available for past acts – ask us about it before the change happens.
